The affairs of the Corporation shall be managed by a Board of up to sixteen (16) Directors as follows:

  1. Five (5) non-voting ex-officio Directors shall be:
    1. the President of the Professional Staff;
    2. Vice-President of the Professional Staff;
    3. the Chief of Staff;
    4. the President and CEO; and
    5. the Chief Nursing Executive
  2. Three (3) Directors at large whose election may not be limited by geographic restrictions;
  3. Eight (8) Directors all of whom shall be residents or have a substantial presence in the City of St. Thomas or within the County of Elgin.
